1. Agreement to Terms

3. Eligibility

By using our Services, you represent and warrant that:

• You have the legal capacity to enter into binding contracts
• You are not barred from receiving services under applicable law
• If representing an organization, you have authority to bind that organization

4. User Accounts and Responsibilities

4.1 Account Creation

When engaging our Services, you may need to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials.

4.2 Acceptable Use

You agree not to:

Ownership of deliverables created specifically for you will be governed by the terms of your service agreement. Unless otherwise specified, we retain rights to general methodologies, frameworks, and reusable components.

6. Payment Terms

6.1 Fees and Billing

Fees for Services will be as specified in your service agreement or statement of work. All fees are exclusive of applicable taxes unless otherwise stated.

6.2 Payment Schedule

Payment terms, including deposits, milestone payments, and final payment schedules, will be defined in your service agreement. Late payments may incur interest charges.

6.3 Refunds

Refund policies will be specified in individual service agreements. Generally, fees for work already performed are non-refundable.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of the business relationship. Specific confidentiality terms may be detailed in separate Non-Disclosure Agreements.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific Services giving rise to the liability
• We are not responsible for any loss of data, profits, or business interruption

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

9. Disclaimer of Warranties

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free.

10. Indemnification

You agree to indemnify, defend, and hold harmless AED Enterprises LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your provision of inaccurate or incomplete information

11. Termination

Either party may terminate the service relationship in accordance with the terms specified in the service agreement. Upon termination:

• You remain liable for all outstanding payments
• Confidentiality obligations continue as specified
• Ownership rights are determined per Section 5

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Durango, Colorado.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with any service agreements, statements of work, and other written agreements between you and us, constitute the entire agreement regarding your use of our Services and supersede all prior agreements.
